Terms & Conditions

  1. No terms or conditions of sale except those set forth herein shall apply unless specifically accepted by seller in writing.
     
  2. Prices quoted herein are based on seller's current cost of material and labour and if any changes occur in such cost at any time before shipment, prices may be adjusted by seller proportionately to such changes in cost. If such adjustments are not mutually satisfactory either party may cancel on the terms set forth in paragraph 5.
     
  3. Delivery promises reflect present day production schedules and therefore are subject to change without notice.
     
  4. No liability will be assumed by the seller for the infringement of any patent rights asserted because of the nature, structure or use of any products ordered by the purchaser and the purchaser and to hold the seller harmless against such claims.
     
  5. Orders will not be subject to cancellation or modification either in whole or in part without the seller's written consent, and then only under terms that will reimburse the seller for all applicable costs incurred by him, including costs of purchased materials, tools and dies, and a reasonable allowance for profit.
     
  6. Seller will replace any goods that prove defective after being properly selected and used but in the event that such goods prove defective the liability of the seller will be limited to the replacement of the said goods or the invoice value thereof. The products supplied shall be deemed inspected and accepted within 30 days after delivery thereof, unless notification is received in writing by the seller within 30 day period.
     
  7. Price quoted includes our own inspection and testing charges. If outside inspection and testing is required charges will be for buyers account.
     
  8. Material purchased from us may not be returned without our consent.
     
  9. The seller warrants that forgings will be made in conformity with drawings furnished by him to the purchaser, subject to the applicable dimensional tolerances as specified in the standards published by the Forging Industry Association unless otherwise specified.
     
  10. Charges for tooling design and development only cover a portion of the preparation charges required for the initial production of goods. The payment of such charges does not convey any title or the right of possession. Such payments does convey the right to the exclusive use of any special dies and tools required and to their preservation by the seller for two years only after the date of the last order requiring their use; it will then be to the discretion of Canada Forgings Inc. to disposition the tooling. The charge for any change in design, for additional quantities of for different rate of delivery will be quoted by the seller upon request.
